Purpose of Legal Due Diligence
The term legal due diligence means a process of gathering information and evaluating liabilities, risks and opportunities relating to the legal aspects of a target company and its business. Due diligence examinations are usually conducted as a part of commercial transactions such as mergers and acquisitions (M&A), private equity and venture capital transactions, as well as in conjunction with initial public offerings (IPO).
In biotech transactions, due diligence is nowadays an essential exercise conducted in connection with almost any transaction. Legal due diligence is an efficient way of assisting and facilitating an informed decision regarding a planned transaction or investment. Legal due diligence also improves negotiating positions, identifies contractual and other risks regarding the planned transaction and ensures generally that the parties are getting what they have bargained for.
