Legal Due Diligence and Biotech Transactions - Practical Aspects

Purpose of Legal Due Diligence

The term legal due diligence means a process of gathering information and evaluating liabilities, risks and opportunities relating to the legal aspects of a target company and its business. Due diligence examinations are usually conducted as a part of commercial transactions such as mergers and acquisitions (M&A), private equity and venture capital transactions, as well as in conjunction with initial public offerings (IPO).

In biotech transactions, due diligence is nowadays an essential exercise conducted in connection with almost any transaction. Legal due diligence is an efficient way of assisting and facilitating an informed decision regarding a planned transaction or investment. Legal due diligence also improves negotiating positions, identifies contractual and other risks regarding the planned transaction and ensures generally that the parties are getting what they have bargained for.

Ben Rapinoja's expertise relates to contract and corporate law, licensing and the commercial exploitation of IPR, as well as dispute resolution in the field of patents, trademarks and IP law. Mr Rapinoja has considerable experience in advising companies in the biotechnology and pharmaceutical sectors. His extensive experience in IP matters and the legal aspects of R&D means that he frequently advises technology companies in various legal and financial arrangements and transactions. Before joining Borenius & Kemppinen Ltd, he worked for the Ministry of Trade and Industry, representing the Finnish Government in various expert groups of the European Union's Institutions, the European Patent Organisation and international organisations such as the WIPO and the WTO.


Kristiina Laiho received her Master of Laws degree in May 2002 whereby she joined Borenius & Kemppinen Ltd. Prior to her graduation she gained several years' experience as a trainee at Borenius & Kemppinen Ltd.

Ms Laiho works with issues relating to contract law, IPR and dispute resolution focusing on patent litigation, particularly in the fields of biotechnology and pharmaceuticals.
